Terms of Service

Please read these Terms carefully before using the Echo platform. By using the Service you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Echo platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are accepting these Terms on behalf of an organisation, you represent that you have the authority to do so.

If you do not agree with any part of these Terms, you may not access or use the Service. We reserve the right to update these Terms at any time (see Section 14).

2. Description of Service

Echo is an autonomous AI operations platform designed for modern brand marketing teams. The Service provides AI-powered operators — specialist agents that monitor culture, creators, competitors, partnerships, and market signals, and autonomously complete real operational jobs (briefs, shortlists, alerts, recommendations) on behalf of brand teams.

The Service includes a conversational interface, scheduled and triggered operator runs, background job execution, memory and context management, and integrations with third-party data platforms. Feature availability may vary by subscription plan.

3. Accounts & Organisations

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.

The Service supports multi-tenant organisations. Organisation owners are responsible for managing member access, roles, and permissions within their organisation. Owners are liable for their members' use of the Service.

You must provide accurate and complete registration information and keep it up to date. Accounts may not be shared between individuals or transferred to another person without our express consent.

We reserve the right to suspend or terminate accounts that violate these Terms, at our discretion and without prior notice where immediate action is necessary.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not use the Service to:

Generate, distribute, or act on content that is illegal, defamatory, fraudulent, harmful, or deceptive; violate the intellectual property rights of any third party; attempt to reverse-engineer, decompile, or extract model weights or proprietary algorithms from the Service; use automated tools to access the Service at scale beyond standard API usage; impersonate any person or entity or misrepresent your affiliation; or interfere with or disrupt the integrity or performance of the Service.

Echo monitors platform usage for safety, abuse prevention, and compliance. Violations may result in account suspension or termination.

5. AI-Generated Outputs

The Service produces AI-generated outputs including briefs, shortlists, alerts, recommendations, and other content ("Outputs"). You acknowledge that:

Outputs are generated by large language models and may contain errors, inaccuracies, or information that does not reflect current events or facts. Outputs should not be relied upon as professional legal, financial, medical, or strategic advice without independent verification.

You are solely responsible for reviewing, validating, and determining the appropriateness of any Output before acting on it. Echo does not guarantee the accuracy, completeness, or fitness for purpose of any Output.

You retain responsibility for any decisions or actions taken based on Outputs generated by the Service.

6. Intellectual Property

The Service, including all software, infrastructure, agent logic, operator playbooks, and platform design, is the exclusive property of Echo and its licensors. Nothing in these Terms grants you any rights in or to our intellectual property.

You retain ownership of the content you submit to the Service ("User Content"), including prompts, brand materials, and data you provide. By submitting User Content, you grant Echo a limited, non-exclusive, royalty-free licence to process, store, and use that content solely to provide and improve the Service.

Outputs generated by the Service based on your User Content are owned by you, subject to applicable law and these Terms. We make no claim to ownership of Outputs.

7. Third-Party Integrations

The Service integrates with third-party platforms, APIs, and services (e.g. social media platforms, creator networks, AI providers). Your use of these integrations is subject to the terms and conditions of those third parties.

Echo is not responsible for the availability, accuracy, or content provided by third-party services. We do not guarantee that any third-party integration will remain available or function as expected.

When you connect a third-party platform, you authorise Echo to access and process data returned by that platform in accordance with our Privacy Policy.

8. Subscription & Billing

Access to certain features of the Service requires a paid subscription. Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected). All fees are in USD unless otherwise stated.

You authorise us to charge your payment method for all applicable fees. Subscription fees are non-refundable except as required by applicable law or as explicitly stated in our refund policy.

We reserve the right to change our pricing. We will provide at least 30 days' notice of any price increases. Continued use of the Service after a price change constitutes your acceptance of the new pricing.

Failure to pay may result in suspension or termination of your account and access to the Service.

9. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information.

This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, is independently developed by the receiving party, or is required to be disclosed by law or court order.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY OUTPUTS GENERATED BY THE SERVICE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HUMAN REASON AND ITS AFFILIATES, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Echo and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Service, your User Content, your violation of these Terms, or your violation of any rights of a third party.

13. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be subject to good-faith negotiation between the parties. If not resolved within 30 days, disputes shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action.

14. Changes to These Terms

We may modify these Terms at any time. When we make material changes, we will update the date at the top of this page and notify you via in-app notification or email. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and may cancel your subscription.

15. Termination

You may cancel your account at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.

We may suspend or terminate your access to the Service at any time for cause, including violation of these Terms, non-payment, or conduct that we reasonably believe is harmful to other users, us, or third parties.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) shall survive.
